1. ACCEPTANCE OF TERMS

By accessing, registering for, or using RetailPivot’s services (the “Service”), you agree to be legally bound by these Terms and Conditions (the “Terms”).

If you are accepting these Terms on behalf of a company or organization, you represent and warrant that you have the authority to bind such entity.

If you do not agree to these Terms, you must not use the Service.

2. DESCRIPTION OF THE SERVICE

RetailPivot is a SaaS platform designed to support the promotion, management, and optimization of product and service sales for businesses.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. ELIGIBILITY

The Service is intended solely for:

  • Individuals aged 18 or older
  • Businesses, organizations, and professionals

RetailPivot is not intended for personal, household, or consumer use.

4. ACCOUNTS AND REGISTRATION

To use the Service, you must create an account.

You agree to:

  • Provide accurate and up-to-date information
  • Maintain the confidentiality of your credentials
  • Be fully responsible for all activities under your account

RetailPivot reserves the right to suspend or terminate accounts for violations of these Terms.

5. USER ROLES AND RESPONSIBILITY

The Customer may assign different roles (e.g., administrators, users, guests).

The Customer is responsible for:

  • All actions taken by its users
  • Managing permissions and access controls
  • Ensuring proper use of the Service

6. CUSTOMER DATA

You retain ownership of all data you upload or process through the Service (“Customer Data”).

By using the Service, you grant RetailPivot a limited, non-exclusive license to:

  • Operate and provide the Service
  • Provide support and maintenance
  • Ensure security and legal compliance

You represent and warrant that:

  • You have all necessary rights to use the Customer Data
  • The data does not violate any laws or third-party rights

RetailPivot does not control or monitor Customer Data and is not responsible for its content.

7. INTELLECTUAL PROPERTY

All rights, title, and interest in the Service, including software, design, and content, are owned by RetailPivot or its licensors.

You may not:

  • Copy, reproduce, or distribute the Service
  • Reverse engineer or attempt to extract source code
  • Use the Service to build competing products

8. PERMITTED AND PROHIBITED USE

Permitted Use:

  • Internal business use
  • Access and use in accordance with these Terms

Prohibited Use:

  • Resale or sublicensing
  • Illegal, abusive, or harmful activities
  • Interference with system integrity or performance

9. PAYMENTS AND SUBSCRIPTIONS

The Service is provided on a subscription basis.

  • Fees are charged in CLP unless otherwise stated
  • Subscriptions renew automatically by default
  • Payments are non-refundable except during the initial 30-day period
  • Accounts may be suspended for non-payment

RetailPivot reserves the right to modify pricing with prior notice.

10. THIRD-PARTY SERVICES

The Service may integrate with third-party tools and services.

RetailPivot:

  • Does not control or endorse such services
  • Is not responsible for their functionality, security, or practices
  • Acts solely as an intermediary

Use of third-party services is at your own risk.

11. PRIVACY AND SECURITY

Use of the Service is subject to our Privacy Policy.

We implement reasonable security measures, but cannot guarantee absolute security.

We may use anonymized data to improve the Service.

12. CONFIDENTIALITY

Both parties agree to protect confidential information.

Exceptions include:

  • Publicly available information
  • Legal or regulatory disclosures
  • Independently developed information

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, RetailPivot shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or data
  • Service interruptions beyond our control

Total liability is limited to the amount paid in the previous 12 months.

14. DISCLAIMER OF WARRANTIES

The Service is provided “as is” and “as available”.

We do not guarantee:

  • Uninterrupted or error-free operation
  • Full compatibility
  • Complete accuracy of outputs

15. TERMINATION AND SUSPENSION

We may suspend or terminate access if:

  • These Terms are violated
  • There are legal or security risks
  • Payment obligations are not met

Customers may cancel subscriptions at any time, but no refunds apply beyond the initial refund period.

16. MODIFICATIONS

We may update these Terms at any time.

Continued use of the Service constitutes acceptance of the updated Terms.

17. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of Chile.

Any dispute shall be resolved through arbitration in accordance with the rules of the Chilean National Arbitration Center (CNA).

18. GENERAL PROVISIONS

  • Force Majeure: No liability for events beyond reasonable control
  • Relationship: Independent contractors; no partnership or employment relationship
  • Assignment: RetailPivot may assign its rights without restriction
  • Severability: Invalid provisions do not affect the remainder
